FinCEN’s regulations state that any company formed on or before January 1, 2024, does not need to provide the names of its company applicants. 

  • Filing for a FinCEN Identifier

After completing the initial filing, each beneficial owner whose name is on the papers must apply for a FinCEN identifier. This reference number can be used in place of full details of beneficial owners for future documentation. 

Who Needs To File Beneficial Ownership Information? 

There are two types of reporting companies that come under the Beneficial owners information BOI rules by FinCEN: 

  • Domestic Reporting Companies

These include corporations and limited liability companies. Also, all other entities established by filing a document with a secretary of state or similar US office. 

  • Foreign Reporting Companies

These are corporations and limited liability companies. Furthermore, all other entities formed under the law of a foreign country registered to do business in the US by filing a document with a secretary of state or any similar US office.
